Welcome to Amorati Diamonds Inc. ("Amorati Diamonds," "us," "we," or "our"). These Terms of Service ("Agreement") govern your access to and use of our website, located at www.amoratidiamonds.com (the "Site"), and any products or services provided by or through the Site. By visiting, browsing, purchasing products, or otherwise interacting with our Site, you agree to comply with and be bound by these Terms of Service. Please read this Agreement carefully. If you do not agree to these terms, you should not use this Site.

1. Acceptance of Agreement

This Agreement constitutes the entire and only agreement between you and Amorati Diamonds Inc. with respect to the Site, its content, products, and services, and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings. We may amend this Agreement at any time by posting the revised terms on the Site without specific notice to you. The latest Agreement will be posted on the Site, and you should review it prior to using the Site or making a purchase. Your continued access or use of the Site after any changes to these Conditions will constitute your acceptance of the revised terms.

2. Definitions

"Site": Refers to www.amoratidiamonds.com and its subsidiaries and affiliates, including any other websites that expressly incorporate these Terms of Service.
"You" / "Your": Refers to the user or viewer of our Site.
"User-Generated Content": Any comment, message, feedback, review, question, idea, suggestion, data, information, text, music, sound, photos, graphics, or other content you submit to or through the Site.

3. Pricing and Product Availability

Pricing: All prices at checkout are in US dollars and are final. We do not negotiate prices. While we strive for accuracy, we reserve the right to cancel any sales where an inaccurate or erroneous price is displayed. If an order is canceled after checkout due to a pricing error, we will refund the amount paid in the same manner as the original payment. Prices are subject to change without notice. The refund price represents your sole and exclusive remedy for canceled sales due to pricing errors.
Product Availability: All products displayed are typically in stock, unless noted otherwise. However, in the event of an inventory error where an item is unavailable, Amorati Diamonds reserves the right to cancel an order or offer a substitute item of like appearance and value.
Comparison Purchasing: To maintain competitive pricing, Amorati Diamonds does not permit comparison purchasing (buying multiple items with the intent to keep one and return the rest). Such practices may incur restocking and inventory overhead.

4. Conflict Diamonds and Gemstone Origin

All diamonds sold on the Site are purchased from legitimate sources not involved in funding conflict, in compliance with United Nations resolutions. We guarantee that these diamonds are conflict-free, based on personal knowledge and/or written guarantees from our suppliers.

All representations regarding gemstone origin, repurposed content of precious metals, and estate information are provided to the best of Amorati Diamonds' knowledge and without guarantee or warranty of any kind. While reasonable commercial efforts are made to ensure the accuracy of origin information, there can be no guarantee or warranty of such information.

5. Photography and Product Representation

Items may appear larger or smaller than actual size due to photography methods or screen defaults. Images may also appear larger to show detail or smaller to show an entire item. It is your responsibility to review the listed size and weight of each stone and not rely solely on photographs when making a purchase. Color and size may vary slightly when viewing product photography due to variations in computer monitor settings. In compliance with industry standards and FTC regulations, carat total weight may vary by carats from the stated weight. For gemstone and pearl measurements, a tolerance of pm0.25mm is allowed.

6. Refund and Return Policy

We want you to be completely satisfied with your purchase. That's why we offer a 30-day money-back guarantee on all eligible products, starting from the date of delivery.

Returns & Condition

All returns must be in their original, unworn condition with all original packaging, tags, and certificates intact. Any item that shows signs of wear, damage, or has been engraved or resized is not eligible for a return and will be returned to the sender at their expense.

A complimentary, pre-paid FedEx shipping label will be provided for all returns within the domestic U.S. Customers outside of this area are responsible for their own return shipping costs. You must use the pre-paid label provided by Amorati Diamonds and include all original packaging, certificates, and the outer packaging.

Non-Returnable Items

Please be aware that the following items are considered final sale and cannot be returned or exchanged:

Custom, personalized, engraved, or resized items (including rings with custom sizes, initials, or birthstones).
Custom jewelry, unless there is a manufacturer defect covered by our warranty.
Items damaged due to misuse, normal wear and tear, tarnishing, or exposure to chemicals.
Lost or stolen items.
Certain rare and unique loose diamonds may also be subject to a final sale.

Return Process

Initiate Return: To start the process, email concierge@amoratidiamonds.com with your order number and email address. If the item was a gift, please provide the original purchaser's name.
Receive Label & RA#: Our Concierge team will email you a Return Authorization (RA) number and a pre-paid FedEx shipping label (as a printable label or QR code).
Ship Item: Ship the item back to us using the provided label and all original packaging, including the certificates. Any diamond returned without its original grading report will incur a $250 replacement fee.
Inspection: Once we receive the item, our Quality Assurance (QA) team will inspect it. This can take up to seven business days.
Refund: After your return is approved, the Concierge team will send a confirmation email. The refund will then be processed to your original payment method. Please allow 5-7 business days for the refund to appear. Refunds for payments made via third-party services (e.g., Afterpay) or for purchases of $10,000 or more may take longer to process.

7. Limited Warranty

Amorati Diamonds offers a limited two-year warranty from the date of purchase, protecting you against manufacturing defects. If a defect is found, we will repair the item at no cost to you. If a repair is not possible, we will replace the item.

What's Covered:

A broken clasp or weak chain link.
A stone that falls out due to a manufacturing defect.
The metal turned color prematurely.

What's Not Covered:

General wear and tear, such as scratches, dents, or tarnishing from regular use.
Damage from misuse, including exposure to harsh chemicals or significant physical impact.
Loss or theft of the item.
Damage caused by using incompatible charms or attachments.

This warranty is valid only for items purchased directly from Amorati Diamonds. Purchases from unauthorized sellers may void the warranty, as we cannot guarantee the item's authenticity. This warranty is also non-transferable and void if ownership of the purchased item changes.

Warranty Process

Initiate Warranty: To begin, email concierge@amoratidiamonds.com with your order number (if you have it), approximate date of purchase, and email address. If the item was a gift, please provide the original purchaser's name.
Receive Label & RA#: Our Concierge team will email you a Return Authorization (RA) number and a pre-paid FedEx shipping label (as a printable label or QR code). You must use this pre-paid label.
Ship Item: Send the item back using the provided label. We recommend using all original packaging if possible.
Inspection: Once we receive the item, our Quality Assurance (QA) team will inspect it to determine if the defect is manufacturing-related. This process can take up to seven business days.
Repair or Replace: After inspection and approval, the Concierge will send a confirmation email. We will then proceed with the repair or replacement of your item.

Amorati Diamonds retains sole discretion in determining if a defect is manufacturing-related.

8. Diamond Upgrades

Our diamond upgrade program applies only to undamaged diamonds purchased from Amorati Diamonds by the original buyer. Amorati Diamonds retains sole discretion in determining if a diamond is undamaged and suitable for upgrade. The price of the original diamond must be less than or equal to $15,000 at the time of purchase, and the price of the new diamond must be at least twice the value of the original diamond. All diamonds returned for an upgrade must be accompanied by the original diamond grading report or certificate. A restocking fee will be applied to the returned diamond at the time of upgrade, and coupon codes or discounts are not valid for upgrades. Diamonds purchased as part of an upgrade (the new diamond) may not be returned or exchanged.

9. Custom Jewelry

For custom jewelry designs ("Custom Design") submitted by customers, you agree and certify that the Custom Design (i) are your original designs and do not belong to anyone else, and (ii) are not subject to any protected intellectual property rights (trademark, copyright, etc.) of others. Once payment is submitted to initiate a custom design draft, the design charge is non-refundable. Custom jewelry items will not be cast and manufactured until you approve the drawings in writing via certified mail or email. Once approved, the custom item is not eligible for return or replacement. Delivery estimates for custom jewelry are approximate and not guaranteed, actual delivery dates may vary. Custom jewelry is covered by our lifetime warranty. Amorati Diamonds Inc. owns all designs, renderings, drawings, and models submitted to or created by our employees and/or designers. By submitting and allowing casting of your Custom Design, you grant Amorati Diamonds Inc. an irrevocable, perpetual, nonexclusive, royalty-free, fully paid-up, worldwide license to use, copy, modify, and display any portion of the Custom Design incorporated into any custom jewelry developed and delivered by you. We reserve the right to market, publicize, and share any and all designs and images of the Custom Design. You agree to indemnify and hold harmless Amorati Diamonds Inc., its officers, directors, shareholders, employees, or agents from any and all liabilities, losses, damages, claims, suits, judgments, costs, and expenses (including reasonable attorneys' fees) resulting from your failure to disclose the source of any protected Custom Design or from the breach or incorrectness of any representation about the source of the Custom Design.

10. Setting Diamonds or Gemstones Not Purchased from Amorati Diamonds

While we commit to superior service and craftsmanship, there is a risk of loss or breakage of stone(s) or diamond(s) not purchased from Amorati Diamonds when sent to our workshop. Loss or breakage of such stone(s) once in the Amorati Diamonds Workshop will not be covered for replacement by Amorati Diamonds Inc. You understand that there is a possibility of loss or damage. Should a replacement be necessary, Amorati Diamonds will convey the details and replacement cost to you.

11. Ring Resizing

Any ring purchased from Amorati Diamonds and shipped within the United States can be sent back within 90 days from the date of purchase for one free resizing. After 90 days, we will resize the item at cost, including return shipping. The customer is responsible for shipping charges incurred when sending the item to us for resizing. Due to customs procedures and additional paperwork, we do not offer ring resizing services for international orders. Please note that diamond eternity bands, some custom designs, and certain materials cannot be resized.

12. Gift Cards & Certificates

You may purchase Amorati Diamonds Gift Cards or Certificates up to a maximum of $5,000.00. Electronic Gift Cards are delivered via email to the designated recipient. Physical Gift Cards or Certificates will be mailed as per your selection. Unless otherwise required by applicable law, Amorati Diamonds Gift Cards or Certificates are non-returnable and non-refundable.

13. Shipping

A number of our items are made to order due to the jewelry manufacturing process. Please refer to the individual item for the production lead time for each individual product.

In stock pieces will be shipped out within 3 business days. If your order is a rush, please contact us and we will let you know if your request can be accommodated. Please note the shipping method selected does not expedite your order's production time.

Please note expedited shipping refers only to the transit time once an item has shipped, not the production time. Purchasing expedited shipping guarantees two-day delivery after the item has been dispatched.

Custom orders could require 6-10 week production time. Once custom pieces are in production, they cannot be canceled nor returned. We ship free UPS insured and offer priority or Express Mail within the US.

14. Use of Information and Privacy Policy

We reserve the right, and you authorize us, to use and assign all information regarding Site usage by you and all information provided by you in any manner consistent with our Privacy Policy. All remarks, suggestions, ideas, graphics, or other information communicated by you to us (collectively, a "Submission") will forever be our property. We will not be required to treat any Submission as confidential and will not be liable for any ideas (including, without limitation, product, service, or advertising ideas) and will not incur any liability as a result of any similarities that may appear in our future products, services, or operations. Without limitation, we will have exclusive ownership of all present and future existing rights to the Submission of every kind and nature everywhere. We will be entitled to use the Submission for any commercial or other purpose whatsoever, without compensation to you or any other person sending the Submission. You acknowledge that you are responsible for whatever material you submit, and you, not us, have full responsibility for the message, including its legality, reliability, appropriateness, originality, and copyright.

Our Privacy Policy, as it may change from time to time, is a part of this Agreement. You may review the privacy policy as currently stated on the Amorati Diamonds website.

15. Text Marketing / Mobile Terms of Service

The Amorati mobile message service utilizing SMS/text messaging (the "Service") is operated by Amorati Diamonds Inc (“Amorati”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Amorati’s Service, you agree to receive recurring SMS/text messages from and on behalf of Amorati through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Amorati. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to +1-833-445-1789 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Amorati mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

16. Registration

Certain sections or offerings from the Site may require you to register and agree to comply with additional terms. If registration is requested, you agree to provide us with accurate, complete registration information using your real name and accurate details. Each registration is for your personal use only and not on behalf of any other person or entity. We do not permit (a) any other person using the registered sections under your name; or (b) access through a single name being made available to multiple users on a network. You are responsible for preventing such unauthorized use.

17. The Vault

Access to The Vault is an exclusive feature for registered Amorati customers. To enter The Vault, you must opt-in for access when you create an Amorati account or at a later time via your "My Account" page.

Upon entry, you will be prompted to provide a unique code that is sent to your email or phone number. Each code is valid for a single drop. If you attempt to sign up for The Vault but already have an Amorati account, you will be notified that your unique code will be sent soon. Please note that each customer email can only be associated with one account.

By signing up for The Vault, you agree to provide certain required information to create your account, including your name, email, and phone number (if you choose to receive SMS messages). Following your sign-up, you may receive a post-sign-up email to gather additional information, such as your address, birthday, and anniversary. The collection and use of this information are subject to our Privacy Policy.

Products featured in The Vault are limited in quantity. We do not guarantee the availability of any product in The Vault. The display of an item does not constitute a guarantee that it is in stock or available for purchase. All products are sold on a first-come, first-served basis.

18. Errors, Corrections, and Changes

We do not represent or warrant that the Site will be error-free, free of viruses or other harmful components, or that defects will be corrected. We do not represent or warrant that the information available on or through the Site will be correct, accurate, timely, or otherwise reliable. We may make changes to the features, functionality, or content of the Site at any time. We reserve the right to correct or remove any and all errors when they occur. We reserve the right in our sole discretion to edit or delete any documents, information, or other content appearing on the Site.

19. Unlawful Activity, Compliance with Law, and Fraud Protection

Amorati Diamonds may collect and disclose any information, including personally identifiable information, we deem necessary, in our sole discretion, to comply with any applicable law and regulation, government request, or legal process. In addition, we may collect and share personally identifiable information and any other information available to us in order to investigate, prevent, or take action regarding suspected fraud, illegal activities, and situations involving potential threats to physical safety, or as otherwise required by law. We may also exchange information, including personally identifiable information, with other organizations or law enforcement officials for credit fraud protection and risk reduction.

20. Property Abandonment

If a customer fails to pick up or accept delivery of purchased item(s) within 90 days of the initial notification that item(s) are ready for pick up or delivery, Amorati Diamonds Inc. will consider the property abandoned and has the right to resell, dispose of, or use such products in any way it chooses.

21. Lost or Stolen Packages

In the rare event a package is lost or stolen while in transit from our offices to the shipping address, we must be notified in writing within 3 business days of the order status being changed to "complete." The customer agrees to fully cooperate with any and all investigations required to recover the lost/stolen package, including filing a police report with the appropriate department. Amorati Diamonds is not liable for any lost/stolen packages if notified more than 3 business days after the order status is changed to "complete."

22. Third-Party Content, Advertisements, and Promotions

Third-party content may appear on the Site or be accessible via links from the Site. We are not responsible for and assume no liability for any mistakes, misstatements of law, defamation, omissions, falsehoods, obscenity, pornography, or profanity in statements, opinions, representations, or any other form of content on the Site. You understand that the information and opinions in third-party content represent solely the thoughts of the author and are neither endorsed by nor necessarily reflect our belief.

Amorati Diamonds may run advertisements and promotions from third parties on our website. These are conducted under the direction of the third party, and Amorati Diamonds is not responsible or liable for any loss, damage, or liability incurred by you as a result of dealings with the third-party provider or resulting from their presence on our website. Any business transactions, correspondence, or participation in promotions with advertisers other than Amorati Diamonds, and any associated terms, conditions, warranties, or representations, are solely between you and such third party.

23. Copyrights and Trademarks

The content, organization, graphics, design, compilation, magnetic translation, digital conversion, and other matters related to the Site are protected under applicable copyrights and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use, or publication by you of any such matters or any part of the Site, except as expressly permitted herein, is strictly prohibited. You do not acquire ownership rights to any content, document, or other materials viewed through the Site. The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials. Some content on the site may be the copyrighted work of third parties.

Amorati Diamonds, the Amorati Diamonds logos, and any other product or service name or slogan contained in our Site are trademarks of Amorati Diamonds Inc. and/or its licensors, and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Amorati Diamonds Inc. or the applicable trademark holder. You may not use any metatags or any other "hidden text" utilizing "Amorati Diamonds" or any other name, trademark, or product or service name of Amorati Diamonds without our prior written permission. All other trademarks, registered trademarks, product names, and names or logos mentioned in our Site are the property of their respective owners.

24. Limited License; Permitted Uses and Restrictions

You are granted a personal, limited, non-sublicensable, non-transferable, revocable license to access and use the Site strictly in accordance with this Agreement; (b) to use the Site solely for internal, personal, non-commercial purposes; and (c) to print out discrete information from the Site solely for internal, personal, non-commercial purposes, provided you maintain all copyright and other policies contained therein. No printout or electronic version of any part of the Site or its contents may be used by you in any litigation or arbitration matter whatsoever under any circumstances.

Your license for access and use of the Site and any information, materials, or documents (collectively defined as "Content and Materials") therein are subject to the following restrictions and prohibitions on use: You may not (a) copy, print (except as expressly permitted), republish, display, distribute, transmit, sell, rent, lease, loan, or otherwise make available in any form or by any means all or any portion of the Site or any Content and Materials retrieved therefrom; (b) use the Site or any materials obtained from the Site to develop, or as a component of, any information, storage and retrieval system, database, information base, or similar resource (in any media now existing or hereafter developed), that is offered for commercial distribution of any kind; (c) create compilations or derivative works of any Content and Materials from the Site; (d) use any Content and Materials from the Site in any manner that may infringe any copyright, intellectual property right, proprietary right, or property right of us or any third parties; (e) remove, change, or obscure any copyright notice or other proprietary notice or terms of use contained in the Site; (f) make any portion of the Site available through any timesharing system, service bureau, the Internet, or any other technology now existing or developed in the future; (g) remove, decompile, disassemble, or reverse engineer any Site software or use any network monitoring or discovery software to determine the Site architecture; (h) use any automatic or manual process to harvest information from the Site; (i) use the Site for the purpose of gathering information for or transmitting (1) unsolicited commercial email; (2) email that makes use of headers, invalid or nonexistent domain names, or other means of deceptive addressing; and (3) unsolicited telephone calls or facsimile transmissions; (j) use the Site in a manner that violates any state or federal law regulating email, facsimile transmissions, or telephone solicitations; and (k) export or re-export the Site or any portion thereof, or any software available on or through the Site, in violation of the export control laws or regulations of the United States.

25. User-Generated Content and Interactive Areas

By posting, distributing, sending, displaying, or otherwise submitting any User-Generated Content to or through the Site, you: (A) Grant, and represent and warrant that you have the right to grant, to Amorati Diamonds an exclusive, royalty-free, worldwide, perpetual, transferable, irrevocable, fully paid, and sublicensable right to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from, and publicly display and perform, the User-Generated Content throughout the world for any purpose including, without limitation, use in any promotion, advertising, or media, whether now known or hereafter devised; (B) Grant Amorati Diamonds and its affiliates, transferees, and sublicensees the right to use the name that you submit in connection with such User-Generated Content in all media in which the User-Generated Content can be used in accordance with these Terms and Conditions; (C) Represent and warrant that (i) you solely own and control all of the rights to the User-Generated Content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute such User-Generated Content to or through the Site upon the terms described herein; (ii) such User-Generated Content is accurate and not misleading; and (iii) the submission, use, and posting or other transmission of such User-Generated Content does not violate these Terms and Conditions and will not violate any rights of, or cause injury to, any person or entity, including, but not limited to, any third-party right of copyright, trademark, service mark, privacy, publicity, or other intellectual property or personal or proprietary right; and (D) Agree that Amorati Diamonds is under no obligation to offer you any payment for the use of the User-Generated Content or to attribute authorship of User-Generated Content to you. You further grant Amorati Diamonds the right to pursue at law any person or entity that violates your or Amorati Diamonds' rights in the User-Generated Content by a breach of these Terms and Conditions.

User-Generated Content you submit to or through the Site is deemed non-confidential and non-proprietary information, and Amorati Diamonds is under no obligation to treat such User-Generated Content as your confidential or proprietary information. Without limiting the foregoing, Amorati Diamonds reserves the right to use the User-Generated Content as it deems appropriate, including, without limitation, deleting, editing, modifying, rejecting, or refusing to post it. If, nonetheless, it is determined that you retain moral rights (including rights of attribution or integrity) in the User-Generated Content, by submitting User-Generated Content, you agree that (A) you do not require that any personally identifying information be used in connection with the User-Generated Content, or any derivative works of, or upgrades or updates thereto; (B) you do not oppose the publication, use, modification, deletion, or exploitation of the User-Generated Content by Amorati Diamonds or its agents; (C) you waive and will not claim or assert any entitlement to any moral rights of an author in any of the User-Generated Content; and (D) you release Amorati Diamonds from any claims that you could otherwise assert against Amorati Diamonds by virtue of any moral rights. Further, you hereby release Amorati Diamonds and its affiliates, successors, and assigns and waive any claims, demands, damages, losses, liabilities, and causes of action against Amorati Diamonds or its affiliates, successors, or assigns for defamation, libel, invasion of privacy, publicity, personality, or exploitation of your name.

The Site may contain forums, such as blogs, bulletin boards, or other interactive areas ("Interactive Areas"). To the extent Amorati Diamonds provides such Interactive Areas, you are solely responsible for your use of such Interactive Areas and use them at your own risk. When using any of the Interactive Areas, you agree not to post, upload, transmit, distribute, store, create, or otherwise publish any of the following:

Material that is sexually explicit, violent, derogatory, unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, an invasion of another individual's privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable;
Material that promotes illegal drug use, tobacco, or firearms use;
Material that constitutes, encourages, or provides instructions for a criminal offense, violates the rights of any individual or group, or that otherwise creates liability or violates any local, state, national, or international law;
Material that may infringe any patent, trademark, service mark, trade secret, copyright, or other intellectual or proprietary right of any party;
Material that uses the names or likenesses of persons living or dead without their permission or that impersonates any person or entity or otherwise misrepresents your affiliation or association with or endorsement by a person or entity;
Unsolicited advertising or links to other commercial sites;
Names, addresses, telephone numbers, email addresses, Social Security numbers, credit card numbers, or other personally identifiable information of you or someone else;
Viruses, corrupted data, or other harmful, disruptive, or destructive files;
Material that is unrelated to the topic of the Interactive Area(s) in which such material is posted;
Material that communicates messages inconsistent with the positive goodwill of Amorati Diamonds; or
Material that, in the sole judgment of Amorati Diamonds, is objectionable or potentially exposes Amorati Diamonds or its users to any harm or disparagement.

Amorati Diamonds takes no responsibility and assumes no liability for any User-Generated Content posted, stored, or uploaded by you or any third party, or for any loss or damage thereto, nor is Amorati Diamonds liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter. As a provider of the Interactive Areas, Amorati Diamonds is not liable for any statements, representations, or User-Generated Content provided by its users on the Site. Although Amorati Diamonds has no obligation to screen, edit, or monitor any of the User-Generated Content posted to or distributed through the Site (including any Interactive Area) or to respond to any comment posted on the Site, Amorati Diamonds reserves the right, and has sole discretion, to remove without notice any User-Generated Content posted or stored on the Site.

26. Indemnification

You agree to indemnify, defend, and hold harmless Amorati Diamonds Inc. and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third-party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates (collectively, "Affiliated Parties") harmless from any liability, loss, claim, and expense, including reasonable attorney's fees, related to your violation of this Agreement or use of the Site.

27. Disclaimer of Warranties

THE SITE, THE CONTENT CONTAINED THEREIN, AND THE PRODUCTS PROVIDED IN CONNECTION THEREWITH ARE PROVIDED "AS-IS," "AS AVAILABLE," WITH "ALL FAULTS," AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE INFORMATION AND SERVICES MAY CONTAIN BUGS, ERRORS, PROBLEMS, OR OTHER LIMITATIONS. WE, OUR AFFILIATED PARTIES, AND THIRD-PARTY VENDORS HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR SERVICE. IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, WE AND OUR AFFILIATED PARTIES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH THE SITE OR OTHERWISE SHALL CREATE ANY WARRANTY, REPRESENTATION, OR GUARANTEE NOT EXPRESSLY STATED IN THIS AGREEMENT. ALL RESPONSIBILITY OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES CONTAINED WITHIN THE ELECTRONIC FILE CONTAINING A FORM OR DOCUMENT IS DISCLAIMED.

28. Limitation of Liability

In no event shall Amorati Diamonds Inc., its directors, members, employees, affiliates, or agents or any other party involved in creating, producing, or delivering the Amorati Diamonds products be liable to you or any third party for damages of any kind arising from the use of this site, including, but not limited to direct, indirect, incidental, special, punitive, and consequential damages or other damages of any kind, including but not limited to loss of use, loss of profits, or loss of data, whether in contract, tort, or otherwise, including negligence, arising out of or in any way connected with or resulting from the use of our site, the products, the services or the content contained in or accessed through the Amorati Diamonds Site, or that results from the reliance by user on any information obtained from Amorati Diamonds, including any error or omission regarding listed diamond origin, any mistakes, omissions, interruptions, deletion of files or emails, errors, defects, viruses, delays in operation or transmission or any failure of performance of the Amorati Diamonds Site, whether or not resulting from acts of God, communications failure, theft, destruction or unauthorized access to Amorati Diamonds' programs or services, even if Amorati Diamonds is expressly advised of the possibility of such damages, or even if the loss, damage or expense was caused by Amorati Diamonds, its directors, members, employees, affiliates or agents. In no event shall Amorati Diamonds' liability be greater than the price you paid for the product or service that is the basis for the claim.

Some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. It is your responsibility to check local laws for any restrictions or limitations regarding the exclusions of implied warranties.

29. Termination

Amorati Diamonds reserves the right, without notice and in its sole discretion, to terminate your license to use this site, and to block or prevent future access to and use of the Site. This may include preventing your ability to make purchases on our site or refusing to fulfill an order of our products made by you. In the event that we do not fulfill an order, a refund will be issued to you in the same form that payment was submitted.

30. Dispute Resolution: Binding Arbitration and Class Action Waiver

You and Amorati Diamonds Inc. (the "Parties") mutually consent to the resolution by final and binding arbitration of all claims (common law or statutory) relating to a Dispute that you may have with Amorati Diamonds. "Dispute" means any dispute, action, or other controversy between you and Amorati Diamonds concerning your Amorati Diamonds products or any warranty, whether in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. "Dispute" will be given the broadest possible meaning allowable under law. Such claims include, but are not limited to, any controversy, claim, dispute, or difference between the Parties arising out of or relating to your purchase of any Amorati Diamonds products, any return or replacement of any Amorati Diamonds products, any warranty claim relating to any Amorati Diamonds products, your transacting business with Amorati Diamonds in any way, or your use of Amorati Diamonds' Online Store in any way.

If you or Amorati Diamonds do not resolve any Dispute by informal negotiation, any other effort to resolve the Dispute will be conducted exclusively by binding arbitration by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules applying U.S. Federal Rules of Procedure and U.S. Federal Rules of Evidence. The AAA Supplementary Procedures for Consumer-Related Disputes will also apply. For more information, see www.adr.org or call 1-800-778-7879. The arbitration shall be before a single arbitrator and will be administered in accordance with the applicable arbitration rules and procedures of the AAA. To the extent required by applicable law, the substantive law of the state in which you purchased products (or the state of delivery) shall apply. You agree to commence arbitration in your county of residence or in a mutually agreed-upon county. Amorati Diamonds agrees to commence arbitration only in your county of residence. You may request a telephonic or in-person hearing by following the AAA rules. In a dispute involving $10,000 or less, any hearing will be telephonic unless the arbitrator finds good cause to hold an in-person hearing instead. The arbitrator may award the same damages to you individually as a court could. The arbitrator may award declaratory or injunctive relief only to you individually, and only to the extent required to satisfy your individual claim.

The Parties expressly waive the right to have a court or jury trial on any arbitrable claim. Notwithstanding any provision of the American Arbitration Association's Commercial Arbitration Rules (including the Supplementary Procedures for Consumer-Related Disputes, if applicable, and/or any other Rules and/or procedures of the American Arbitration Association), arbitration shall occur on an individual basis only. To the maximum extent permitted by law, THE PARTIES WAIVE THE RIGHT TO INITIATE, PARTICIPATE IN, OR RECOVER THROUGH, ANY CLASS, COLLECTIVE, OR NON-INDIVIDUAL ACTION (the "Waiver"). In addition, to the maximum extent permitted by law, neither Party shall have the right to join or consolidate claims in arbitration with the claims of any other person or entity against the other Party to this Agreement. To the maximum extent permitted by law, the Arbitrator's authority to resolve any dispute and to make written awards will be limited to your individual claims.

To the extent required by the applicable substantive law, Amorati Diamonds shall pay arbitration-related fees and costs to the extent they are in excess of the fees and costs that you would be required to bear if the claim were brought in court. Each side shall pay its own other costs and attorneys' fees unless the Arbitrator rules otherwise. You will not be required to pay any fee or costs, however, if such a payment would invalidate this Agreement, and Amorati Diamonds will instead make that payment. To the maximum extent permitted by law, the Arbitrator shall award the prevailing party its costs and reasonable attorney's fees; provided, however, that the arbitrator at all times shall apply the law for the shifting of costs and fees that a court would apply to the claim(s) asserted.

Notwithstanding any other provision of this Agreement or the AAA Rules referenced above, disputes regarding the scope, applicability, or enforceability of the Waiver may be resolved only by a civil court and not by an arbitrator. Either Party also may apply to a court of competent jurisdiction for provisional relief in connection with an arbitrable claim, including temporary or preliminary injunctive relief.

You and Amorati Diamonds agree that there is not and has never been any intent, agreement, or expectation of the Parties to allow the prosecution of Mass Arbitrations, which are not permitted. As used in this Arbitration Agreement, "Mass Arbitrations" means and refers to when 30 or more arbitration demands asserting the same or similar claims are made and/or sought to be compelled by individuals during any rolling 52-week period, and such individuals are represented by the same lawyer(s) or law firm(s) and/or by one or more of several affiliated, associated, or coordinated lawyers or law firms. In the event Amorati Diamonds reasonably believes that there are Mass Arbitrations being asserted, it shall give written notice of such to the individual and Arbitrator (if appointed) in each of the arbitrations at issue and, upon giving such notice, Amorati Diamonds shall not have any further obligation to arbitrate those arbitrations, and they shall be automatically stayed, pending Amorati Diamonds seeking a determination from a court of competent jurisdiction that the arbitrations at issue are Mass Arbitrations. Amorati Diamonds will not be required to pay any arbitration fees prior to and as a condition of seeking such a court determination. Should a court of competent jurisdiction hold that any arbitration demand made or sought to be compelled by any individual under this Arbitration Agreement is one of such Mass Arbitrations, then Amorati Diamonds will not be required to arbitrate the disputes at issue therein, which instead will be litigated in a court of competent jurisdiction.

Nothing in this Arbitration Agreement requires arbitration of any claim that under the law (after application of Federal Arbitration Act preemption principles) cannot be made subject to a pre-dispute agreement to arbitrate claims.

This Arbitration Agreement is the complete agreement between the Parties on the subject of the arbitration of disputes and the subject of the Waiver and supersedes any prior or contemporaneous oral or written agreement on the subject. This Arbitration Agreement can only be revoked or modified by a writing signed by the Parties that specifically states an intent to revoke or modify this Arbitration Agreement, except that Amorati Diamonds retains the right to make unilateral modifications to the Arbitration Agreement as required to comply with changes in the law.

If any term of this Arbitration Agreement is determined for any reason to be unenforceable, in whole or in part, such term or portion thereof shall be deemed stricken and the balance of this Arbitration Agreement shall continue in full force and effect.

31. Miscellaneous

This Agreement shall be treated as though it were executed and performed in the State of Tennessee, and shall be governed by and construed in accordance with the laws of the State of Tennessee (without regard to conflict of law principles). Any cause of action by you with respect to the Site (and/or any information, Documents, products, or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth in this Agreement. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against any party. This Agreement and all incorporated agreements and your information may be automatically assigned by us in our sole discretion to a third party in the event of an acquisition, sale, or merger. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under this Agreement shall survive any termination of this Agreement.
